Representative Matters

Outside General Counsel: Counseled regional hydraulic equipment servicing business in a variety of areas including, commercial matters, employment, contracting, real estate issues, and intellectual property, in support of multiple business lines including partial sale of equity interests, acquisitions and mergers, and ongoing operations.

Outside General Counsel: Counseled medical practice in support of ongoing business operations in variety of legal areas including corporate governance, employment, non-competes, real estate transactions, contracting, and commercial matters.

Representation of a physician in connection with nationwide multidistrict litigation the Northern District of Texas with hundreds of thousands of dollars exposure to the client, resulting in a "walk-away" resolution post-survival of a summary judgment motion from a nationwide lender.

Obtained dismissal of all claims against subcontract service provider in a workplace injury suit alleging damages of one million dollars with zero payment from the clients and a mere $100,000.00 settlement from insurer.

Outside General Counsel: Counseled multi-national sports entertainment franchisor in a $27mm stock repurchase transaction, and continued to counsel the client in a variety of areas including, commercial matters, employment, contracting, real estate issues, and other matters.

Outside General Counsel: Counseled ambulatory surgery center in a buy-out transaction by a member physician and regional management company, and previously provided counsel to the client in a variety of areas including, corporate governance, commercial, employment, contracting, real estate issues, and other matters.  

Confidential Commercial Dispute: Obtained a favorable settlement on behalf of a local business owner engaged in noise and quiet enjoyment of property dispute with neighboring business. Parties settled without monetary consideration.

Commercial Collections: Represented Regional Machinery Supplier in obtaining over $125,000.00 from a non-paying debtor's investment and banking accounts.

Confidential Commercial Real Property Dispute: Represented real estate investors in a dispute with real estate developer of an adjoining property involved in a dispute concerning easements and rights-of-way. Parties settled with a payment of an undisclosed amount to my clients and favorable terms vis-a-vis easements and rights-of-way. Opposing party's representative later became my client.

Represented regional housing authority in the negotiation of web services and development contracts.

Assisted over 30 business owners in forming entities since January 2022.
